§ 1 Scope of Application
- These Terms of Service apply to all use of the jidAI SaaS platform and related services provided by the Provider.
- These terms apply exclusively to business-to-business (B2B) relationships with entrepreneurs within the meaning of § 1 para. 1 no. 1 KSchG and legal entities under public law. Consumer transactions are excluded.
- These terms apply in the version valid at the time of contract conclusion. Customer terms do not become part of the contract unless explicitly agreed in writing.
- Deviating conditions apply only if explicitly acknowledged in writing by the Provider.
§ 2 Service Description
jidAI is a cloud-based time-tracking service with AI-assisted features, including natural-language entry parsing, voice transcription, team and project management, work profiles, approval workflows, and organization administration.
The specific scope of services depends on the selected subscription tier, order confirmation, or individual agreement. The Provider may develop and improve features over time.
§ 3 Registration and Account
- Registration requires accurate and complete information. You are responsible for keeping account credentials confidential.
- You are responsible for all activities under your account.
- Public registration and login forms use automated security checks, including Google reCAPTCHA v3 after your consent. The Provider may refuse or block submissions that appear fraudulent or abusive.
- The Provider may suspend or terminate accounts that violate these terms or pose a security risk.
§ 4 Subscription, Licenses, and Billing
- jidAI is offered in subscription tiers with a defined number of user licenses. Fees are quoted in EUR unless otherwise agreed.
- Billing cycles, prices, and payment terms are specified at registration or in the order confirmation.
- Unless otherwise agreed, invoices are due within 14 days without deduction.
- The Provider may adjust prices for ongoing services with reasonable notice as permitted by law and individual agreements.
§ 5 Acceptable Use
You may use jidAI only for lawful business purposes and in accordance with these terms. You must not:
- Misuse the service, attempt unauthorized access, or interfere with its operation
- Upload unlawful, infringing, or malicious content
- Reverse engineer or circumvent security measures except where legally permitted
- Use the service in a manner that violates applicable labor, data protection, or employment law
§ 6 AI Features and Output
- jidAI uses artificial intelligence to assist with time entry, transcription, onboarding, and optional compliance features.
- AI output may be incomplete or inaccurate (including so-called hallucinations). You must review AI-generated results before relying on them.
- The Provider does not guarantee the accuracy, completeness, or legal compliance of AI-generated content.
- You remain responsible for the correctness of time records and workforce data submitted to or stored in jidAI.
§ 7 Customer Data and Data Protection
- For employee time-tracking data, the customer organization is generally the data controller and the Provider acts as a processor.
- The customer is responsible for having a lawful basis to process employee data in jidAI and for informing employees as required by law.
- A data processing agreement is available on request.
- The Provider's Privacy Policy describes how personal data is processed.
§ 8 Intellectual Property and License
- The Provider retains all rights to jidAI, its software, documentation, and branding.
- Upon payment of applicable fees, the customer receives a non-exclusive, non-transferable right to use jidAI for the subscribed term and number of licenses.
- Customer data remains the property of the customer. The Provider may use aggregated, anonymized usage data to improve the service.
§ 9 Availability and Changes
- The Provider strives to keep jidAI available but does not guarantee uninterrupted or error-free operation unless an SLA is expressly agreed.
- Maintenance, updates, and security patches may cause temporary interruptions.
- The Provider may modify features with reasonable notice where practicable.
§ 10 Warranty
The Provider warrants that jidAI will be provided with professional care according to the agreed scope. Except as expressly stated, no warranty is given that the service will be error-free or meet every business requirement. Statutory warranty rights remain unaffected where they cannot be excluded.
§ 11 Limitation of Liability
- The Provider is fully liable for damages arising from injury to life, body, or health, for intent and gross negligence, and under mandatory statutory provisions.
- For slight negligence, liability is limited to breach of essential contractual obligations and, in amount, to the foreseeable damage typical for the contract.
- Liability for slight negligence per claim is limited to the net fees paid by the customer for jidAI in the twelve months preceding the damaging event, up to EUR 50,000.
- Liability for lost profits, indirect damages, consequential damages, and pure financial loss is excluded for slight negligence where permissible by law.
- The Provider is not liable for outages or issues caused by third-party infrastructure (e.g., cloud providers, Google services) beyond the Provider's control.
§ 12 Term and Termination
- Subscriptions run for the agreed billing period and renew unless terminated in accordance with the order terms.
- Either party may terminate for good cause, including material breach or payment default after reasonable notice.
- Upon termination, access to the service ends. Export of customer data may be provided as described in the service documentation or individual agreement.
- Provisions that by nature should survive termination (e.g., liability, IP, confidentiality) remain in effect.
§ 13 Changes to These Terms
The Provider may update these terms for legal, technical, or operational reasons. Material changes will be communicated with reasonable notice. Continued use after the effective date constitutes acceptance unless otherwise required by law.
§ 14 Final Provisions
- Austrian law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
- Exclusive place of jurisdiction for disputes is the competent court in Innsbruck, Austria.
- If individual provisions are invalid, the remaining provisions remain effective. An effective provision closest to the economic intent replaces the invalid one.
- Amendments require written form unless a stricter form is prescribed by law.
